ACKNOWLEDGEMENT AND ACCEPTANCE OF TERMS OF Business This electronic commerce Business ("Business") is owned and operated by Perfumemiami.com, Corp. ("Perfumemiami.com Inc"). This Business is being provided to you ("Affiliate") under the terms and conditions of these Terms of Business ("TOS"), as well as any operating rules or polices that may by published by Perfumemiami.com Inc. The TOS comprises the entire agreement between Affiliate and Perfumemiami.comand supersedes any and all prior agreements between the parties regarding the subject matter contained herein. DESCRIPTION OF Business Perfumemiami.comprovides Affiliates with the ability to create, maintain and conduct limited business though electronic commerce sites via the World Wide Web and hosted on Perfumemiami.com Inc's own system. Affiliate must: (1) provide all equipment, including a computer and communications device(s) necessary to establish a connection to the World Wide Web; (2) provide for own access to the World Wide Web and pay for any fees (including, but not limited to telephone Business, or other telecommunications Business) associated with such access. In consideration for this Business, Affiliate agrees to (1) provide certain current, complete, and accurate information about Affiliate as requested by the Business, and (2) maintain and update this information as required to keep it current, complete and accurate. All information requested during the initial sign up procedure shall be referred to as "Registration Data." Affiliate further grants to Perfumemiami.comthe right to disclose to third parties certain Registration Data about Affiliate and Business membership in the aggregate; however, such disclosures will exclude Affiliate's name, mailing address, e-mail address, account and phone number, unless: (1) Affiliate expressly directs Perfumemiami.comor any other person Affiliate may specifically designate to disclose such information through the Business as provided thereby and/or (2) Perfumemiami.comis required to disclose such information by any applicable law or legal process served on Perfumemiami.com Inc. If any information provided by Affiliate is inaccurate, Perfumemiami.com retains the right to terminate Affiliate's membership and rights to use the Business, with or without notice. 3. MODIFICATIONS TO TERMS OF Business Perfumemiami.com reserves the right to modify these TOS or discontinue the Business with or without notice to Affiliate. Perfumemiami.com shall not be liable to Affiliate or any third party should Perfumemiami.comexercise its right to modify of discontinue the Business. 4. PRIVACY POLICY It is Perfumemiami.com Inc�s policy to respect the privacy of its Affiliates, as well the privacy of all those conducting business through use of the Business. However, unless expressly stated and identified, communications by and between Affiliates, the Business, and third parties, cannot be considered completely private, and no warranties about their privacy are thus made by Perfumemiami.com Inc. Perfumemiami.commay at times monitor or edit the contents of communications by and between Affiliates, the Business, and third parties. Affiliate acknowledges and agrees that Perfumemiami.comdoes not endorse the contents of any Affiliate communications and specifically disclaims any responsibility for any threatening, libelous, obscene, harassing or offensive material contained therein, as well as any claimed or actual infringement of third party intellectual property rights arising therefrom or any crime facilitated thereby. Affiliate acknowledges and agrees that certain technical processing of communications and their content may be required to: (1) communicate with Affiliates; (2) conform to connecting networks� technical requirements; (3) conform to the limitations of the Business; or (4) conform to other similar requirements. From time to time, Network Commerce Inc will send you information to meet your business needs. 5. USE OF CONFIDENTIAL INFORMATION 5.1 In this Agreement, "Confidential Information" means the Software, and all related data, information, protocols, reference implementation and documentation, and functional and interface specifications, provided by Perfumemiami.comto the Affiliate Partner. 5.2 The Affiliate Partner's use and disclosure of Confidential Information are subject to the following terms and conditions: (a) The Affiliate Partner shall treat the Confidential Information as strictly confidential, and use all reasonable efforts to protect and preserve its secrecy and confidentiality, including implementing reasonable physical security measures and operating procedures; (b) The Affiliate Partner shall not disclose any Confidential Information to others, except to its officers and employees on a "need to know" basis on the condition that such personnel are advised of the confidential nature of the Confidential Information and of the procedures required to maintain the confidentiality. (c) The Affiliate Partner shall not prepare any derivative works based on the Confidential Information. (d) The Affiliate Partner agrees that any Confidential Information in the form of computer software, data and/or databases shall only be used on computer systems owned or controlled by the Affiliate Partner. 5.3 In the event of termination of this Agreement, all Confidential Information in the possession or control of the Affiliate Partner shall be immediately returned to Registrars.com. The Affiliate Partner shall provide full disclosure to Registrars.com of any and all unauthorized disclosures and/or uses of any Confidential Information and the obligations of this Article 5 shall survive such termination and remain in full force and effect. 6. MEMBER IDENTIFICATION, PASSWORD, AND SECURITY Once made a Affiliate of the Business, Affiliate shall receive a password, user identification ("user i.d."), and a mail account. Affiliate is entirely responsible to maintain the confidentiality of its password and user i.d. Furthermore, Affiliate is entirely responsible for any and all activities which occur under Affiliate�s user i.d. and mail account. Affiliate may change its password at any time by following instructions; Affiliate may also set up a new account and close an old one at its convenience. Affiliate agrees to immediately notice Perfumemiami.comof any unauthorized use of Affiliate�s account or any other breach of security known or suspected by Affiliate. 7. DISCLAIMER OF WARRANTIES MEMBER EXPRESSLY AGREES THAT USE OF THE Business IS AT MEMBER�S SOLE RISK. THE Business IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Perfumemiami.com Inc EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE AND NON-INFRINGEMENT. Perfumemiami.com Inc MAKES NO WARRANTY THAT THE Business WILL MEET MEMBER�S REQUIREMENTS, OR THAT THE Business WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE; NOR DOES Perfumemiami.com Inc MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE Business OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE Business OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. MEMBER UNDERSTANDS AND AGREES THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGHOUT THE USE OF THE Business IS DONE AT THE MEMBER�S OWN DISCRETION AND RISK, AND THAT MEMBER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO MEMBER�S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. NO RESALE OF THE Business Affiliate agrees not to sell or resell its access to the Business, without the express written consent of Perfumemiami.com Inc. 10. DATA STORAGE AND OTHER LIMITATIONS Perfumemiami.comassumes no responsibility for the deletion of or failure to store Affiliate�s data. Perfumemiami.comhas no set upper limit on the amount of data a Affiliate may use or place on the Business; however, Perfumemiami.comretains the right, at its sole discretion, to determine whether a Affiliate�s conduct concerning the use of the Business is consistent with the letter and spirit of this TOS, and may terminate Business as previously provided, with or without cause, with or without notice. Affiliate expressly agrees that it will not place, or cause to be placed, any advertisements of any kind. Affiliate further agrees that it will not edit or otherwise manipulate any advertisements found or placed on the Business by Perfumemiami.com Inc, or its authorized designee. Affiliate further agrees that it will make no disparaging comments or references to any advertisements found or placed on the Business by Perfumemiami.com Inc, or its authorized designee, or cause such disparaging comments or references to be made. Affiliate expressly agrees that it will not provide any hyperlinks to sites external to those contained on the Business. Affiliate expressly agrees that it will not provide any hyperlinks to any external payment system, payment platform, or shopping cart system. Affiliate expressly agrees that it will place no Java script in any portion of the Business except for that which is provided by the Business. Affiliates are expressly prohibited from engaging in meta-redirection. Affiliate expressly agrees that it will not introduce or cause to be introduced any programming language, text or other data that results in the manipulation or change of any framing provided by the Business. 11. MEMBER CONDUCT Affiliate is solely responsible for the contents of its transmissions and communications through the Business. Affiliate�s use of the Business is subject to all applicable local, state, national and international laws and regulations. Affiliate expressly agrees: (1) to comply with the laws of the United States of America regarding the transmission of data exported from the United States of America through the Business; (2) not to use the Business for illegal purposes; (3) not to interfere or disrupt networks connected to the Business; and (4) to comply with all regulations, policies and procedures of networks connected to the Business. The Business makes use of the Internet to conduct limited business and disseminate information; therefore, Affiliate�s conduct is subject to Internet regulations, policies and procedures. Affiliate expressly agrees not to use the Business for transmission of any action relating to the dissemination of chain letters, junk mail, "spamming," including using the Business or Perfumemiami.comwebsites or e-mail to facilitate communication with willing parties. Affiliate expressly agrees not to make use of distribution lists to contact or communicate to any person or entity who has not given specific permission to be included in such a process. Affiliate expressly agrees not to collect member email addresses from the member system. Affiliate expressly agrees not to use the Business to transmit or make available for display any unlawful, harassing, libelous, abusive, threatening, harmful vulgar, obscene or otherwise objectionable material of any kind or nature. Affiliate expressly agrees that Perfumemiami.comretains the sole discretion to determine, in good faith, objectionable conduct in violation of the TOS, as described herein. Affiliate expressly agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability, or otherwise violate any law or regulation. Affiliate expressly agrees not to use the Business to engage in any copyright infringement activities, such suspected usage may result in immediate termination of the Business with or without notice. Attempts to gain unauthorized access to the Business or any other computer system are expressly prohibited by Perfumemiami.comand may result in termination of Business, with or without cause, with or without notice. Affiliate expressly agrees that it shall not interfere with any other Affiliate�s use and enjoyment of the Business. Perfumemiami.comreserves the right to determine Affiliateship on the Business at all times. 12. INDEMNIFICATION Affiliate agrees to indemnify and hold Perfumemiami.com Inc, its parents, subsidiaries, affiliates, officers, directors, employees, successors and assigns, harmless from any claim or demand, including reasonable attorney�s fees, made by any third party due or arising out of Affiliate�s use of the Business, or the violation of this TOS. Affiliate further agrees to indemnify and hold Perfumemiami.com Inc, its parents, subsidiaries, affiliates, officers, directors, employees, successors and assigns, harmless from any claim or demand, made by any third party relating to the infringement by Affiliate or Affiliates, or other user of the Business, of any copyright, trademark, trade dress, Business mark, or other intellectual property rights of any person or entity. 13. TERMINATION Affiliate or Perfumemiami.commay terminate the Business with or without cause at any time and effective immediately. Termination shall be accompanied by written notice to the other party. Under certain circumstances described in this TOS, Perfumemiami.commay terminate Business with or without notice. Perfumemiami.comhall not be liable to Affiliate or any third party for termination of Business. Should Affiliate object to any terms and conditions of this TOS or any subsequent modifications thereto, or become dissatisfied with the Business in any way, Affiliate agrees that its only recourse is to immediately: (1) discontinue use of the Business; (2) terminate Business membership; and (3) notify Perfumemiami.comof termination as outlined above. Upon termination of the Business, Affiliate�s rights to use the Business immediately ceases, and Perfumemiami.comhall thereafter have no obligation to maintain or forward any data or communications to Affiliate or any third party. 14. NOTICE All notices to either Affiliate or Perfumemiami.com shall be made in writing and shall be made either via e-mail or conventional mail. Perfumemiami.commay broadcast notices or messages through the Business, or send e-mail messages to Affiliate, to inform Affiliate of changes to the TOS, the Business itself, or other matters of importance. Such broadcasts or e-mail messages shall constitute notice to Affiliate. 15. PARTICIPATION IN AGREEMENTS WITH ADVERTISERS Affiliate may advertise their products or Businesss with an Advertiser outside the Business. Any such agreements, as well as any communications or representations made in furtherance of such agreements, are solely between Affiliate and Advertiser, and Perfumemiami.comassumes no liability, obligation or responsibility for any such agreements. 16. PROPRIETARY RIGHTS TO CONTENT MEMBER ACKNOWLEDGES THAT CONTENT, INCLUDING, BUT NOT LIMITED TO, TEXT, SOFTWARE, MUSIC, SOUND, GRAPHICS, VIDEO OR OTHER MATERIAL CONTAINED IN EITHER SPONSOR ADVERTISEMENTS OR THE Business ITSELF IS PROTECTED BY COPYRIGHTS, TRADEMARKS, TRADE DRESS, Business MARKS, OR OTHER PROPRIETARY RIGHTS AND LAWS. MEMBER IS PERMITTED TO USE THIS CONTENT ONLY AS EXPRESSLY AUTHORIZED BY THE Business OR THE ADVERTISER. MEMBER MAY NOT COPY, REPRODUCE, DISTRIBUTE, OR CREATE DERIVATIVE WORKS FROM THIS CONTENT WITHOUT THE EXPRESS WRITTEN CONSENT OF Perfumemiami.com Inc OR THE ADVERTISER. 17. ATTORNEY�S FEES Should any litigation be commenced between the parties to this TOS, or the rights and duties of either in relation to this TOS, the party prevailing in that litigation shall be entitled, in addition to any other relief that may be granted, to a reasonable sum as and for its attorney�s fees in that litigation which shall be determined by the court in that litigation or in a separate action brought for that purpose. 18. GOVERNING LAW This TOS shall be governed by and construed in accordance with the laws of the State of Florida. Affiliate and Perfumemiami.comagree to submit to the exclusive jurisdiction of the courts of the State of Florida. Venue shall be established in the County of Dade. If any provision of this TOS is determined to be unenforceable or contrary to law in a court of competent jurisdiction, the remaining provisions shall remain valid and in effect, and shall be construed so as to give full effect to the intentions of the parties. Perfumemiami.com Inc�s failure to exercise or enforce any right or provision of this TOS shall in no way constitute a waive of such right or provisions unless so acknowledged and agreed by Perfumemiami.comin writing. 19. SUCCESSORS AND ASSIGNS This Agreement shall be binding on and shall inure to the benefit of the parties to this TOS and their respective heirs, assigns, executors, and administrators.
